AstraPay Terms & Conditions

Effective Date: April 6, 2026

These Terms and Conditions ("Terms") govern your access to and use of the AstraPay platform, including its website (pay.byastra.ai), dashboard, APIs, smart contracts, blockchain integrations, PayChat, and all related tools and services (collectively, the "Platform"), operated by Astra, a company incorporated under the laws of the Cayman Islands ("Astra," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform. We may update these Terms at any time. Material changes will be communicated via email or Platform announcements. Continued use after updates constitutes acceptance.

1. Eligibility

1.1 Age — You must be at least 18 years old to use the Platform. By using the Platform, you confirm you meet this requirement.

1.2 Legal capacity — You must have the legal capacity to enter into binding agreements in your jurisdiction.

1.3 Restricted countries — The Platform is not available to individuals or entities located in, incorporated in, or operating from countries subject to international sanctions, trade embargoes, or restrictions imposed by the United Nations, the United States, the European Union, or other applicable regulatory bodies. By using the Platform, you confirm you are not located in or operating from a restricted jurisdiction. Astra reserves the right to block or terminate access to users identified as being in restricted jurisdictions at any time, with or without notice.

1.4 Restricted businesses — The following business types are strictly prohibited from using AstraPay regardless of jurisdiction or legal status:

  • Distribution, sale, or promotion of child sexual abuse material (CSAM) in any form
  • Terrorism financing or support of designated terrorist organizations
  • Drug trafficking or sale of controlled substances
  • Human trafficking or exploitation

All other business types are permitted on the Platform given its non-custodial and non-KYC nature.

2. Account Registration

2.1 Merchant accounts — AstraPay is a merchant-facing platform. To access full Platform functionality, you must register a merchant account by providing your name or company name, email address, country, and a password.

2.2 Multiple accounts — Merchants may operate multiple accounts provided each account uses a distinct email address.

2.3 Accuracy — You are responsible for ensuring all account information is accurate and up to date. Providing false information may result in account termination.

2.4 Security — You are responsible for maintaining the confidentiality of your account credentials, API keys, and wallet addresses. Astra is not liable for any losses resulting from unauthorized access to your account due to your failure to secure your credentials.

2.5 Account termination by you — You may close your account at any time by contacting support@byastra.ai.

2.6 Account termination by Astra — Astra reserves the right to suspend or terminate your account at any time, with or without notice, for any reason including but not limited to violation of these Terms, suspected fraud, illegal activity, or inactivity. Where reasonably practicable, Astra will provide notice before termination.

2.7 Effect of termination — Upon termination, your access to the Platform will cease. Data retention following termination is governed by our Privacy Notice. Since AstraPay is non-custodial, no merchant funds are held by Astra at the time of termination — all funds are already in your designated wallet addresses.

3. Platform Description

3.1 Non-custodial — AstraPay is a non-custodial payment processing platform. Astra does not hold, store, control, or have access to your funds or tokens at any point. When a payment is initiated, a temporary deposit address is generated to route funds directly to your designated wallet address. Your wallet address stored on the Platform is configuration data only — it does not constitute a custodial relationship.

3.2 Non-KYC — AstraPay does not require identity verification from merchants or their end customers. Merchants are solely responsible for complying with any KYC, AML, or other regulatory requirements applicable to their own business operations.

3.3 Blockchain transactions — All payment transactions are processed on public blockchains. Once a transaction is submitted to the blockchain, it is irreversible. Astra has no ability to reverse, cancel, or modify on-chain transactions.

3.4 Supported tokens and networks — AstraPay supports specific token and network combinations as listed on the Platform. Astra reserves the right to add or remove supported tokens and networks at any time.

4. Payments & Fees

4.1 Fee structure — AstraPay operates a volume-based fee tier system (Annual). Fees are calculated based on your cumulative payment volume and decrease as volume increases across the following tiers:

TierVolumeFee Discount
Bronze$00%
Silver$100,000+10%
Gold$500,000+25%
Platinum$2,000,000+40%
Diamond$10,000,000+60%

Current fee rates for each tier are displayed in your merchant dashboard and may be updated by Astra with reasonable notice.

4.2 Merchant responsibility — Merchants are solely responsible for all payment transactions processed through their AstraPay account. This includes ensuring payments are correctly configured, wallet addresses are accurate, and customers are informed of applicable terms.

4.3 No refunds — AstraPay is a non-custodial, blockchain-based platform. We have no ability to reverse or refund completed transactions. All sales processed through AstraPay are final. Merchants are solely responsible for managing any refund or dispute policies with their own customers.

4.4 Failed or lost payments — Astra is not responsible for payments that are lost, delayed, or unconfirmed due to blockchain congestion, incorrect wallet addresses, insufficient gas fees, or any other reason outside Astra's control.

4.5 Tax obligations — Merchants are solely responsible for determining and fulfilling any tax obligations arising from payments processed through AstraPay.

5. Astra Coins

5.1 Nature of Astra Coins — Astra Coins are platform utility tokens used within AstraPay's PayChat ecosystem. Each Astra Coin has a fixed exchange rate of 10 Coins = 1 USDC. Coins are backed by USDC held in a non-custodial smart contract — no party, including Astra, has unilateral control over the smart contract.

5.2 Purchasing Coins — Users may purchase Astra Coins using USDC. A minting premium applies at the time of purchase. Current pricing is displayed on the Platform and may be updated at any time.

5.3 Uses of Astra Coins — Astra Coins may be used for:

  • Paying per-message charges in PayChat
  • Sending Sparks (gifts) to other users
  • Unlocking locked content created by other users
  • Transferring to other platform users

5.4 Withdrawing Coins — Coins may be withdrawn and converted back to USDC at any time. A conversion fee applies on withdrawal — current rate is 10 Coins = $0.90 USDC. Withdrawal rates are displayed on the Platform and may be updated with reasonable notice.

5.5 Transfers — Coins may be transferred between users as part of normal Platform activity (messaging, gifts, content unlocking). All transfers are final and non-reversible.

5.6 Non-custodial — USDC backing Astra Coins is held in a smart contract. Astra does not custody these funds. Users may withdraw their Coin balance to USDC at any time subject to the applicable conversion fee.

6. PayChat

6.1 Description — PayChat is AstraPay's monetized messaging feature that allows creators to charge per message, lock content behind payment, and receive Sparks from supporters.

6.2 Creator responsibility — Creators using PayChat are solely responsible for the content they publish, the pricing they set, and their compliance with applicable laws regarding content distribution and monetization.

6.3 Prohibited content — The following content is strictly prohibited on PayChat:

  • Child sexual abuse material in any form
  • Content promoting terrorism or violence
  • Content facilitating drug trafficking or human exploitation
  • Any content illegal under applicable law

Astra reserves the right to remove prohibited content and terminate accounts publishing such content immediately and without notice.

6.4 No editorial control — Astra does not review, moderate, or endorse content published on PayChat. We are a platform provider, not a publisher of user content.

  • Use the Platform in any way that could damage Astra's reputation or business

9. Disclaimers

9.1 No warranties — The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or uninterrupted availability.

9.2 Blockchain risks — You acknowledge and accept the inherent risks of blockchain technology, including but not limited to price volatility, smart contract vulnerabilities, network congestion, and transaction irreversibility.

9.3 No financial advice — Nothing on the Platform constitutes financial, legal, or investment advice. You are solely responsible for your financial decisions.

9.4 Third-party services — The Platform may integrate with or link to third-party services. Astra is not responsible for the availability, accuracy, or practices of third-party services.

10. Limitation of Liability

10.1 Liability cap — To the maximum extent permitted by applicable law, Astra's total cumulative liability to you for any claims arising out of or relating to these Terms or the Platform shall not exceed $1,000 USD or the total fees paid by you to Astra in the three months preceding the claim, whichever is lower.

10.2 Exclusions — Astra shall not be liable for:

  • Loss of funds due to incorrect wallet addresses provided by you
  • Blockchain network failures, congestion, or exploits

  • Loss of profits, revenue, data, or business opportunities
  • Indirect, incidental, consequential, or punitive damages of any kind

10.3 Non-custodial limitation — As a non-custodial platform, Astra never holds your funds. Any loss of funds due to smart contract exploits, blockchain vulnerabilities, or user error is outside Astra's control and Astra bears no liability for such losses.

11. Indemnification

You agree to indemnify, defend, and hold harmless Astra and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or relating to:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Content you publish on the Platform
  • Any dispute between you and your customers

12. Dispute Resolution

12.1 Good faith — In the event of a dispute, both parties agree to first attempt to resolve it in good faith by contacting support@byastra.ai.

12.2 Arbitration — If a dispute cannot be resolved informally within 30 days, it shall be finally resolved by binding arbitration under the rules of a recognized arbitration body in the Cayman Islands. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding on both parties.

12.3 Class action waiver — You waive any right to participate in a class action lawsuit or class-wide arbitration against Astra.

12.4 Exceptions — Nothing in this section prevents Astra from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Cayman Islands, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the Cayman Islands for any matters not subject to arbitration under these Terms.

14. General Provisions

14.1 Entire agreement — These Terms, together with the Privacy Notice, constitute the entire agreement between you and Astra regarding the Platform.

14.2 Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver — Astra's failure to enforce any provision of these Terms does not constitute a waiver of its right to enforce it in the future.

14.4 Assignment — You may not assign your rights or obligations under these Terms without Astra's prior written consent. Astra may assign its rights and obligations freely.

14.5 Force majeure — Astra is not liable for any failure or delay in performance resulting from causes beyond its reasonable control, including blockchain network failures, regulatory changes, natural disasters, or cyberattacks.
